These Terms and Conditions constitute a legally binding agreement between you and LamarX Technologies Inc. governing your access to and use of our mobile app and evidence-driven trade services.
1 Acceptance of Terms
By downloading, installing, registering, accessing, or using the LamarX Mobile Application ("App") or accessing the LamarX Trade web portal (lamarxtrade.com), you signify your explicit agreement to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree to these terms, you must discontinue using the application immediately.
2 User Eligibility & Accounts
LamarX is built for business-to-business commercial agricultural exporters, commission agents, clearing agents, and fresh produce importers:
- You represent and warrant that you are at least 18 years old and possess the legal authority to bind your organization or business entity.
- You must provide accurate, current, and complete corporate registration details, including your business name, mobile number, and statutory tax/trade registrations (such as IEC or VAT where applicable).
- You are solely responsible for maintaining the confidentiality of your account credentials, passwords, and multi-factor authentication codes.

4 Shipment Evidence & Content Submissions
When you or your authorized representatives capture photographs or upload files into the LamarX platform, you warrant and represent that:
- All documents, images, and statements are genuine, authentic, and truthfully reflect the physical state of the produce, container, or transaction at the time of capture.
- You will not upload doctored, digitally manipulated, or misleading photos or false weight certificates.
- You grant LamarX a limited, worldwide license to host, store, index, and display the evidence to verified counterparties engaged in the respective shipment ledger.
5 Market Intelligence & Pricing Disclaimer
Important Operational Notice: LamarX delivers market analytics, arrival forecasts, and historical price benchmarks for informational and strategic planning purposes only.
Fresh produce trade is inherently subject to uncontrollable commodity dynamics, weather, vessel delays, spot auction variability, and buyer negotiations. LamarX is NOT a commodity broker, financial advisor, or insurer, and does not guarantee specific selling prices or profit margins.
6 Intellectual Property Rights
All platform interfaces, proprietary algorithms, evidence ledger structures, trade analytics, software code, graphic marks, logos (including the LamarX Arrow Logo), and trade dress are the exclusive property of LamarX Technologies Inc. and are protected by applicable intellectual property laws.
7 Prohibited Activities
You agree not to:
- Reverse engineer, decompile, or attempt to extract source code from the LamarX Android APK or web assets.
- Introduce viruses, malware, or destructive payloads to the LamarX platform infrastructure.
- Scrape, harvest, or bulk-export market intelligence data without written consent.
- Impersonate another enterprise or upload forged bill of lading paperwork.
8 Subscription, Fees & Billing Terms
Access to premium container allotments, real-time Al Aweer market feeds, and enterprise multi-user management may require paid subscription tiers or per-shipment charges. All fees are clearly displayed in invoices or in-app upgrade screens prior to purchase. Subscriptions are billed in advance on a recurring monthly or annual basis unless cancelled.

9 Limitation of Liability
To the maximum extent permitted by applicable law, LamarX Technologies Inc. and its directors, employees, and licensors shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of cargo profits, perishable fruit spoilage resulting from shipping line reefer breakdown, port congestion, customs quarantine delays, or third-party counterparty defaults.
10 Termination & Account Suspension
LamarX reserves the right to suspend or terminate your account immediately without prior notice if you breach these Terms, submit falsified trade documents, engage in fraudulent transactions, or fail to pay applicable software license dues.
11 Governing Law & Dispute Forum
These Terms shall be governed by and construed in accordance with the laws applicable to international commercial contracts and commercial software. Any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by binding arbitration in accordance with recognized international commercial arbitration rules.
